Referral Program Terms

Article 1 — Purpose and scope of application.

The company POSITIVE GROUP LYON (hereinafter “SIGNITIC”) sets up a sponsorship program (hereinafter the “Program”) under the conditions defined herein. The Program is therefore reserved for SIGNITIC customers; any person, natural or legal entity, who subscribes to SIGNITIC Services is considered to be a customer; under the conditions set out in the Signitic General Conditions of Services (hereinafter “Customer”) is considered to be a customer.

Article 2 — Eligibility conditions

2.1. The Sponsor is a natural person, employee or legal representative (manager, CEO, president) of a SIGNITIC client company. To be a Sponsor, the following conditions must be met:

• The company he represents must have a paid and active subscription to the services offered by SIGNITIC;
• The company he represents must be up to date with all of its contractual and financial obligations towards SIGNITIC on the date of sponsorship.

Members of companies belonging to the same group of companies as SIGNITIC as well as their direct family cannot be Sponsors.

2.2.  To be a Referral, the company whose contact details are provided by the Sponsor must cumulatively meet the following conditions:

• Be a company legally distinct from that represented by the Sponsor;
• Have at least 50 employees at the time of sponsorship;
• Not having previously subscribed to SIGNITIC's services;
• Do not belong to the same group as the Sponsor's company, within the meaning of article L.233-3 of the Commercial Code.

The same Referral can only be validly sponsored once.

Article 3 — Sponsorship arrangements

‍

Sponsorship is carried out exclusively through the tools and supports made available by SIGNITIC.

The Sponsor undertakes to provide only professional contact details that are strictly necessary for the establishment of a relationship between S and the Referral. The Sponsor guarantees the accuracy and veracity of the information provided concerning the Referral. In particular, he undertakes to verify that the Referral meets the eligibility conditions provided for in article 2.2 hereof.

The Sponsor is prohibited from any abusive, insistent or likely to damage the image of SIGNITIC.

Article 4 — Benefits of the Program

‍

4.1. Subject to the effective subscription of the service by the Referral within three months following the communication of contact details by the Sponsor, in particular by accepting and signing an order form, the Referral benefits from three (3) months of free subscription. This advantage applies to the first subscription taken out by the Referral and cannot be used fractionally.

4.2. Subject to the final conclusion of the contract between SIGNITIC and the Referral, as well as the effective payment by the Referral of the amounts due under his subscription, the Sponsor benefits from the allocation of a gift voucher with a face value of 100 euros. The gift voucher will be sent to the Sponsor electronically within a maximum of thirty (30) working days following the above payment.

SIGNITIC cannot be held liable in the event of failure or impossibility of use of the gift voucher attributable to its issuer or to a third party.

4.3. The benefits granted under the Program are strictly personal, non-transferable and cannot be combined with any other promotional offer or commercial advantage.

In the event of early termination of the contract by the Referral within the first six (6) months following subscription, SIGNITIC reserves the right to claim from the Sponsor a refund of the value of the gift voucher awarded to him.

Article 5 — Prevention of abuse

‍

SIGNITIC reserves the right to refuse, suspend or cancel any sponsorship:

‍

• in the event of a fraudulent or abusive maneuver;
• in case of self-sponsorship or sponsorship between entities belonging to the same group within the meaning of article L.233-3 of the Commercial Code;
• in the event of the provision of inaccurate or misleading information concerning the Referral;
• or in case of non-compliance with these conditions.

SIGNITIC may, where appropriate, cap the number of sponsorships eligible for more benefits per Sponsor or per client company, after having informed the interested parties.

Article 6 — Personal data

‍

As part of the Program, SIGNITIC acts as a data controller within the meaning of Regulation (EU) 2016/679 of 27 April 2016 on the protection of natural persons with regard to the processing of personal data (hereinafter the “RGPD”). The Sponsor declares and guarantees to have previously informed the Referral of the transmission of his professional contact details to SIGNITIC as part of the Program.

The conditions for processing the personal data of the Sponsor and the Referral are set out. hither.
The Referral is informed, from the first contact established by S, of the conditions for processing his personal data and the rights he has in accordance with the RGPD.

Article 7 — Modification and termination of the Program

‍

SIGNITIC reserves the right to modify, suspend or terminate the Program at any time, subject to informing the Sponsors by any appropriate means.

Sponsorships in progress on the date of the modification, suspension or termination of the Program remain subject to the conditions applicable at the time of their completion, provided that the Referral has actually subscribed to SIGNITIC's services before the effective date of the changes.

Article 8 — Applicable law and competent jurisdiction

‍

These conditions are subject to French law.

In the event of a dispute relating to the interpretation or execution of these terms and conditions, and in the absence of an amicable settlement, express jurisdiction is attributed to the competent courts under the jurisdiction of the Douai Court of Appeal, notwithstanding multiple defendants or warranty claims.
